Lauren Puglia has been practicing business law for more than two decades. Her areas of expertise include representation of venture capital funds and portfolio companies in which they invest in financial transactions including the issuance of preferred stock, options, warrants, and secured debt; asset sales, stock sales and mergers, often involving non-cash consideration, including securities of the acquirer; and advising emerging companies regarding entity formation, prevention and resolution of shareholder disputes, and stock option and other incentive compensation plans, represent issuers, underwriters and placement agents in connection with publicly offered and privately placed mortgage and asset-backed securities; franchisers and franchisees, including drafting and negotiation franchise agreements and assisting with the preparation of disclosure documentation; and underwriters and issuers in connection with municipal bond financing.
Ms. Puglia began her career with Skadden Arps Slate Meagher & Flom in New York, in its structured finance department, where she represented issuers and underwriters in publicly offered and privately placed mortgage and asset-backed securities. Prior to joining Sassoon & Cymrot, Ms. Puglia was a partner in the Boston office of Adler Pollock & Sheehan where she acted as “outside” general counsel for corporations, advising them on myriad business issues. Prior to joining Adler Pollock, Ms. Puglia was a partner with Schnader Harrison Goldstein & Manello in Boston, where she maintained a general corporate practice with an emphasis on financial transactions and securities law.
