On December 23, 2024, the Fifth Circuit Court of Appeals reversed a Texas Federal District Court’s injunction that halted the filing of the BOI reports under the Corporate Transparency Act (CTA). As a result of this reversal, the requirement to file the BOI reports, which requires US business entities to report stakeholder information to the Treasury Department, has been restored.
Here are deadlines businesses need to be aware of:
- Entities existing prior to January 1, 2024, the filing deadline is now January 13, 2025.
- Entities that had an initial deadline between December 3, 2024 and December 23, 2024, the filing deadline is now January 13, 2025.
- Entities created or registered between December 3, 2024 and
- December 23, 2024 should add 21 days to the initial filing deadline.
